Practice Subscription Agreement

This Practice Subscription Agreement ("Agreement") sets forth the terms and conditions governing your practice’s right to use MA Healthcare Limited’s ("MA Healthcare") online continuing professional development modules and archive service (the "Service"), through its website www.dental-nursing.co.uk (the "Site") for a period of one year from the date payment for your subscription has been successfully received through our secure online payment partner, RBS WorldPay. By completing the online practice subscription form and clicking the box "I have read and agree to the Practice Subscription Agreement" on the practice subscription online registration page, and using the Service, your practice agrees to be bound by all of the terms and conditions of this Agreement.

This Agreement expressly incorporates by reference and includes the Site's general Terms and Conditions, Privacy Policy and any guidelines, rules or disclaimers that may be posted and updated on specific web pages, or on notices that are sent to you. In the event of any inconsistency between the terms of this Agreement and the general Terms and Conditions, this document shall prevail.

Please carefully review the terms of this Agreement before clicking the relevant check box on the online practice subscription registration form. If you do not wish to accept this Agreement, do not proceed with your subscription.

Binding Terms and Changes

MA Healthcare reserves the right to change the terms of this Agreement from time to time. Any changes to this Agreement will be posted on this web page.

When the terms are changed, we will provide notice to you by email or by posting a notice on the site. Your continued use of the Service following such notice constitutes your acceptance of those changes. If you no longer agree to the terms of this Agreement or to any changes, please email us immediately to cancel your subscription.

Usage Rights

This Agreement allows Authorised Users the right to access and use the Services under the terms of this Agreement. "Authorised Users" are defined as current employees of your practice, whom your practice has notified to MA Healthcare will be a user of the Service under the terms of the Agreement and for whom MA Healthcare has provided a unique user name and password to access and use the Service.

Your practice cannot allocate more Authorised Users than the total number of users selected by you on the "user licences required" section on the practice subscription online registration page, unless additional payment is made to MA Healthcare.

Your practice cannot transfer the names of Authorised Users or allocate new Authorised Users, except with the written permission of MA Healthcare.

Use of Site Content

Your practice must use reasonable endeavours to ensure that all Authorised Users are appropriately notified of the importance of respecting the intellectual property rights and that they must strictly adhere to our policy on Use of Site Content as contained in the Site's general Terms and Conditions.

Password Use and Security

By entering into this Agreement, you acknowledge that the Service is for the exclusive use of the Authorised Users. Use or sharing of an Authorised User’s user name and password by anyone else within your practice is prohibited. Failure to comply will result in immediate suspension or termination of your practice’s account and the right of all Authorised Users to access and use the Services.

Your practice is solely responsible for maintaining the confidentiality of the user names and passwords for all Authorised Users and for all activities that occur under such user name and passwords. You agree to immediately notify us by email if you become aware of or have reason to believe that there is any unauthorised use of any user name and password of any Authorised User or any other breach of security. We are in no way liable for any claims related to the use or misuse of the user names and passwords of the Authorised Users due to the activities of any third party outside of our control or due to your failure to maintain their confidentiality and security.

Grant of License

MA Healthcare grants your practice a non-transferable, non-exclusive and revocable license to use the Service according to the terms and conditions set forth in this Agreement. Except as expressly granted by this Agreement, your practice acquires no right, title or license in the Service or the content of any of the Site or other data or materials incorporated in the Service.

Term and Termination

Your practice’s right to use the Service will continue until it expires one year from the date payment has been successfully received through our secure online payment partner, RBS WorldPay, unless it is terminated by MA Healthcare for any breach of this Agreement or any breach of the Site's general Terms and Conditions. MA Healthcare may discontinue or change the Service, or its availability to your practice and the Authorised Users, at any time without notice.

No Assignment

THIS AGREEMENT IS PERSONAL TO YOUR PRACTICE, AND YOU MAY NOT ASSIGN YOUR RIGHTS OR OBLIGATIONS TO ANYONE ELSE.

No Waiver

Neither failure nor delay on the part of any party to exercise any right, remedy, power or privilege hereunder nor course of dealing between the parties shall operate as a waiver thereof, or of the exercise of any other right, remedy, power or privilege. No term of this Agreement shall be deemed waived, and no breach consented to, unless such waiver or consent shall be in writing and signed by the party claimed to have waived or consented. No waiver of any rights or consent to any breaches shall constitute a waiver of any other rights or consent to any other breach.

Severability

If any provision in this Agreement is held invalid or unenforceable under applicable law, the remaining provisions shall continue in full force and effect.

Law and Jurisdiction

This website is administered by MA Healthcare from its corporate headquarters in London, United Kingdom. This agreement shall be governed by the laws of England and Wales. The Courts of England and Wales are to have exclusive jurisdiction and venue for any dispute arising out of or in connection with the use of this Site.
